STANDARD SAAS SOFTWARE LICENSE AGREEMENT

This Standard SAAS Software License Agreement ("Agreement") is entered into between Monsieur Maxime Naulleau, registered at 2 ruelle du Mont Goguet, 44000 Nantes, France (hereinafter referred to as "Licensor"), and the recipient of the license (hereinafter referred to as "Licensee").

  1. Software Description and Ownership a) The Licensor owns the exclusive proprietary copyrights to the SAAS software (hereinafter referred to as the "Software"), which is designed to build online and mobile applications as well as websites. b) The Licensee acknowledges that the Software is protected under applicable copyright laws.
  2. Grant of License a) The Licensor hereby grants the Licensee a paid, non-exclusive, and non-transferable license to use the Software for commercial purposes. b) The Licensee shall have the right to use, copy, and modify the codebase of the Software for their own purposes, within the scope of this Agreement. c) The Licensee is expressly prohibited from making the codebase of the Software open-source or distributing it in any form, whether modified or unmodified.
  3. License Restrictions a) The Licensee agrees not to use the Software in any manner that exceeds the provisions of this Agreement. b) The Licensee shall not resell the license or grant a sub-license without the prior written consent of the Licensor.
  4. Software Updates a) The Licensor may, at its discretion, make available modifications or upgrades to the Software. b) The Licensee acknowledges that such updates or upgrades may affect the Software's functionality and may result in the loss of data or previous functionalities.
  5. Disclaimer of Warranty a) The Licensor provides the Software "as is" without any warranty or guarantee of any kind. b) The Licensee acknowledges that the Licensor does not guarantee that the Software will meet their specific requirements or expectations.
  6. Indemnification The Licensee undertakes to protect, indemnify, and defend the Licensor against any claims, legal actions, including attorney's fees, that may arise or be incurred as a result of using or distributing the Software.
  7. Termination a) Either party may terminate this Agreement upon written notice to the other party. b) In the event of termination, the Licensee shall cease using the Software and destroy all copies of the Software in their possession.
  8. Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of France. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of France.
  9. Entire Agreement This Agreement constitutes the entire agreement between the Licensor and the Licensee regarding the licensing of the Software and supersedes all prior agreements, understandings, or representations, whether written or oral.

Please read this Agreement carefully before accepting it. By accepting this Agreement, the Licensee acknowledges that they have read and understood its terms and conditions and agree to be bound by them.
